By entering and participating in this Matthews Mentality Podcast Giveaway (this “Giveaway”), you affirm you have reviewed, accepted, and agreed to all of the Official Rules set forth below.

 

1. Sponsor

This Giveaway is sponsored by Matthews Real Estate Investment Services™, 1600 West End Ave., Suite 1500, Nashville, TN 37203 ("Sponsor").

 

2. Eligibility

This Giveaway is open only to legal residents of the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. To be eligible, entries must be submitted in accordance with the How to Enter rules set forth herein, within the Giveaway Period defined below.

 

Employees of Sponsor who are involved in the administration of the Giveaway, and their immediate family members and/or those living in the same household, are not eligible to participate.

This Giveaway is subject to applicable federal, state, and local laws and regulations. Void where prohibited.

 

3. Giveaway Period

The Giveaway begins at 12:00 a.m. Eastern Time on June 24, 2025 and ends at 11:59 p.m. Eastern Time on June 27, 2025 ("Giveaway Period"). Entries will be accepted online only during this Giveaway Period.

 

4. How to Enter

To enter, during the Giveaway Period:

1. Subscribe to the Matthews Mentality Podcast on YouTube (if you are not currently subscribed to the Matthews Mentality Podcast on YouTube already); and

2. Download, install, or otherwise create an account and log into Instagram (if you have not already downloaded, installed, and created or logged into Instagram); and

3. Follow @kylematthewsceo on Instagram (if you are not currently following @kylematthewsceo on Instagram already); and

4. Post a comment on the Giveaway post posted on Instagram by @kylematthewsceo and, in that comment, tag at least one other Instagram account who might enjoy the content posted by @kylematthewsceo on Instagram.
    

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.
Limit one (1) entry per person. Entrants are not permitted to enter more times, including by using multiple Instagram accounts, identities, or devices to circumvent the Official Rules. Multiple entries, or entries using automated tools, fake accounts, or third-party services will be disqualified. Both new and existing subscribers/followers are eligible to enter. Existing followers/subscribers must still complete all entry requirements during the Giveaway Period to qualify.

 

Entrants must complete all listed steps during the Giveaway Period to be eligible. Incomplete entries will not be considered.

5. Prizes

Two (2) prizes will be awarded:

- Prize 1: One (1) signed Maxx Crosby jersey – a 4x Pro Bowl defensive star. Approximate Retail Value ("ARV"): $250

- Prize 2: One (1) Apple AirPods Pro (4th generation with Active Noise Cancellation) (ARV: $196.45) and one (1) Meta AI Smart Glasses (ARV: $361.08)

Total ARV of all prizes: $807.53

 

Prizes are non-transferable, non-exchangeable, and may not be redeemed for cash. Sponsor reserves the right to substitute any prize with an item of equal or greater value. However, no cash or other prize substitutions shall be permitted except at Sponsor’s discretion.

ARVs are estimates and actual/appraised value may differ at the time of the prize award.

All prize-related expenses, including taxes as set forth below, shall be the sole responsibility of the winner(s), except for shipping the prize to the winner(s) at a U.S. mailing address.

All prizes are awarded “as is” and without any warranty of any kind, express or implied, including without limitation any implied warranty of merchantability or fitness for a particular purpose.

 

6. Winner Selection and Odds

Winners will be selected in a random drawing from the pool of all eligible entries received on June 30, 2025 from all eligible entries received.

The two (2) winners will be selected at random. The first randomly selected winner will be given the opportunity to choose between the two prizes described in Section 5. The second randomly selected winner will receive the remaining prize. Prize selection order is determined solely based on the order of winner selection.

​

Odds of winning depend on the total number of eligible entries received.

 

7. Notification and Delivery

Winners will be notified via Instagram direct message from @kylematthewsceo during the week of June 30, 2025. Sponsor shall not be liable nor responsible for a winner’s failure to receive notices due to spam, junk e-mail, security settings, or other settings, or for the winner’s provision of incorrect or otherwise non-functioning contact information.  Winners must respond within five (5) calendar days with a valid U.S. mailing address and any other information required for prize fulfillment. Prizes will be mailed to the winners at the U.S. mailing address provided by the winner. If a winner fails to provide the required information within five (5) calendar days or cannot receive delivery, they will forfeit the prize and an alternate winner will be selected. This process will continue until one eligible winner has been selected and timely provides the required information and documentation for each prize offered in the Giveaway.

 

Failure of a selected winner to respond within five (5) calendar days or provide requested information and documentation will result in disqualification and selection of an alternate winner.

Prizes will be shipped within 4–6 weeks. Sponsor is not responsible for delays or failed deliveries.

 

8. Taxes and Documentation

Acceptance by the winner of a prize offered in this Giveaway is conditioned on compliance with any and all federal, state, and local laws and regulations. Winners are solely responsible for any federal, state, or local taxes associated with their prize. If required by law, Sponsor may issue an IRS Form 1099 and require the winner to complete and return a Form W-9 as part of the winner selection process.

 

Prior to receiving any prize, winners may be required to complete and return:
- An affidavit of eligibility
- A liability/publicity release
- A W-9 tax form (if prize value exceeds $600)

- Proof of lawful U.S. residency, age verification, and identity for verification

 

9. Publicity Release

By entering to participate in the Giveaway, participants agree that, if they are selected as a winner of a prize, they consent to Sponsor’s use of their name, likeness, username, entry content, and city/state for promotional purposes in any media worldwide, without additional compensation, unless prohibited by law.

 

10. General Release of Liability

By entering, participants agree to release and hold harmless Sponsor, Instagram, YouTube, Meta, Apple, Spotify, Pete Carroll, Maxx Crosby, the Las Vegas Raiders, the Pro Bowl, the NFL, and their respective affiliates, representatives, agents, and employees from any liability, injury, loss, or damage arising from or related to the Giveaway or the acceptance/use of any prize.

 

11. Third-Party Disclaimer

This Giveaway is not sponsored, endorsed, or administered by, or associated with, Instagram, YouTube, Meta, Apple, Spotify, Pete Carroll, Maxx Crosby, the Las Vegas Raiders, the Pro Bowl, or the NFL.
All trademarks are the property of their respective owners.

 

12. Privacy

By entering, participants consent to the collection and use of their personal information for the purpose of Giveaway administration, in accordance with Sponsor’s Privacy Policy (https://www.matthews.com/privacy-policy). Winners understand and agree the Sponsor, and anyone acting on behalf of the Sponsor, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the world, without limitation, the winner’s entry, name, portrait, picture, voice, likeness, image, statements about the Sponsor or the Giveaway or prize(s), for news, public relations, and promotions purposes, without any further compensation, notice, review, or consent. All entries become the property of the Sponsor on receipt and will not be acknowledged or cancelled.

 

13. Recordkeeping

Sponsor will retain records of winners and prize distributions for at least four (4) years, or as otherwise required by law.

15. Disclaimer

Sponsor is not responsible for (i) any incorrect or inaccurate information or description of any prize, including but not limited to the ARV of any prize; (ii) any late, lost, stolen, unintelligible, illegible, damaged, mutilated, altered, incomplete, misdirected, or otherwise unusable, impermissible, or invalid entries; (iii) technical failures of any kind; (iv) the unavailability or inaccessibility of any website, app, or service; (v) unauthorized intervention in any part of the entry process of this Giveaway; (vi) typographical, electronic, or human errors which may occur in the offer or administration of this Giveaway or the processing of entries and delivery of prizes; (vii) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in this Giveaway or from viewing, playing, or downloading any content of the Matthews Podcast or any content posted by @kylematthewsceo; or (viii) any ambiguity or inconsistency in these Official Rules.

 

16. Disputes

Any and all disputes and questions concerning the Giveaway, including the construction, validity, interpretation, and enforceability of the Official Rules, or the rights or obligations of any person or the Sponsor in connection with the Giveaway, will be governed by and construed in accordance with the laws of the State of Tennessee without effect to any conflict of law rules or provisions that would cause the application of any other laws. Winners are responsible for compliance with all applicable laws regarding transferring, owning, or possessing the prize items. BY ENTERING THE GIVEAWAY, YOU AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW: (I) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, ANY PRIZE AWARDED, OR THESE OFFICIAL RULES MUST BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (II) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS MUST BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED FIFTY U.S. DOLLARS ($50.00) BUT IN NO EVENT WILL ATTORNEYS’ FEES, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, LOST PROFITS, OR OTHER DAMAGES BESIDES ACTUAL OUT OF POCKET EXPENSES BE AWARDED; (III) YOU IRREVOCABLY WAIVE ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. 17. Agreement to Official Rules

By entering, all participants agree to be fully and unconditionally bound by these Official Rules, and represent and warrant you meet the eligibility requirements. You agree to accept the decisions of the Sponsor as final and binding as they relate to the content, winner selection process, and awarding of prizes of the Giveaway. Any violation of these Official Rules by a selected winner, as determined in the Sponsor’s sole and absolute discretion, will result in the winner’s disqualification as winner, and all privileges as winner will be immediately terminated. By accepting any prize, the winner acknowledges they have read and agreed to these Official Rules.
